   I'm not sure we can bank on this, but when I called Adobe this afternoon
to make sure I could still upgrade for $99.00 their sales agent told me that
there was an Audition 4.0 coming out but the release was not on the
immediate horizon and no date was set.  Adobe only allows updates from 3
version back and I should be sure and upgrade before 4.0 was released.

   It looks like we may get at least one more version, maybe???

I, like you, have followed the Cool Edit path from the freebie to Cool Edit 
2000, CE Pro, and on into the Adobe Audition updates. I would most 
definitely go with the upgrade and most importantly, I would START USING IT 
!!
Adobe brought Audition into conformity with its Creative Suite look and 
feel, pretty much bullet-proofed it, updated it to more current standards, 
integrated a lot of indispensable plugins and in general made it a more 
powerful yet elegant multitrack recording environment - with a great help 
system.
I think their half-way development of the MIDI side is unfortunate, as it 
gave them a bad rep with folks looking to cross over from SONAR or Cubase. 
They were definitley buying time and trying to keep their audio customers, 
while they pondered a totally integrated Audio-Visual Application. The fact 
is that MIDI has  actually grown in importance in the meantime and I expect 
that Adobe has got the message. The current trend for MIDI as 
paramter-process control and rendered MIDI sequences to be arranged and 
manipulated in the audio realm bodes well for aplications with strong audio 
roots.
There's always a chance that 3.0 will be the end of Audition as we know it, 
but for the money you cannot get a better hands-on environment for really 
getting down with audio. With SONAR, Reaper, and Ableton Live (applications 
I use), and other apps there's usually a option/preference for entering the 
path to the Editor of choice. That's because they leave that work to 
Audition or SoundForge, etc. When your editor is also a great multitrack 
recording and mastering environment there's a reason to keep ungrading.
Another thing I've found after nearly six years of cleaning and restoring 
audio, you would have to spend over $2000 (Waves + Izotope products) to 
match the tools built-in to Audition - I've got the receipts right here 8; 
( Sure I've got peeves, but you asked if it was worth $99.
